Definitions
“OWNER” shall means (company for which the project is to be accomplished) a registered company or for in-house project it may be a
project department.
“XYZee”shall mean a consultancy in the field of executing projects (LSTK/OBE/PMC) also referred to as "Licensee",
who has also a registered office.
"Licensor" shall mean, a company in the field of providing technology and have a registered office.
Note: For in-house projects, Licensor is R&D or Technology transfer department and OWNER will be the project department and may be
consultant or they can hire consultant for basic and detailed engineering. Here we are considering Owner as a production company,
licensor is a technology supplier and detailed engineering contractor as a ZYZee Company.
OWNER has hired M/s ZYZee to execute the project on behalf of OWNER and in return OWNER paid them fees.
Technology" shall mean data, experience and know-how, patented and unpatented, related to the Plant, which Licensor owns,
controls or has access to on the date of this Agreement.
"Owner's Plant" shall mean the “Project Name” for “Company Name” to be constructed by or for Owner at “Project Place Name” by means of
the Process Technology which plant shall have a Rated Design Capacity.
"Mechanical Completion" shall mean the date when the plant is ready for pre-commissioning and activities like hydrostatic testing,
wiring tests, calibration of instruments and electrical motor rotation tests have been executed.
"Start-up" shall mean the initial operation of the plant upon the introduction of Guarantee feed stock charge into the plant
after Mechanical completion.
"Owners Contractor(s) shall mean such engineering firm or firms, companies, individuals etc. selected by Owner for work on Owner's
Plant or requested by Owner to bid on such work, subject to the provisions of Article 3.
"Manday's" shall mean any calendar day or part thereof, during which a Licensor representative shall be engaged in work performed for
Owner including travelling time.
"Kick-off Meeting" shall mean the meeting between Licensor and Owner/PMC and with or without Owner's Consultant(s)
as Owner may determine to establish and agree on certain typical basic design criteria to be used in the design of Owner's
Plant in addition to or modification of the Design Basis set forth in Technical Specification hereof, and to establish the process
boundaries of Owners Plant for the purposes of Licensor's design.
The term Basic Design Engineering Package (BDEP)" for the Unit shall mean such design and engineering as set forth
in more detail in Technical Specification.
"Unit" means “Chemical Name of the unit” set up on License from Licensor, in which the use of process Technology
(ies) is/are involved.
"Rated Design Capacity" shall mean the nominal capacity of “……” metric tons/day of “Chemical Name”.
